1. Acceptance of Terms

Welcome to fetchfund. These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and fetchfund LLC (“fetchfund,” “we,” “us,” or “our”), governing your access to and use of the fetchfund platform, website (fetchfund.com), and all related services (collectively, the “Service”).

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

fetchfund is an AI-powered grant discovery and management software-as-a-service (SaaS) platform designed to help nonprofit organizations identify, track, and manage grant funding opportunities. The Service includes, but is not limited to: automated grant opportunity discovery and matching; grant deadline tracking and calendar management; application status tracking and pipeline management; AI-assisted grant research and analysis; reporting and analytics tools; and collaboration features for development teams.

3. Account Registration and Security

To access certain features of the Service, you must register for an account. When registering, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must immediately notify fetchfund of any unauthorized use of your account or any other breach of security. fetchfund will not be liable for any loss or damage arising from your failure to comply with these security obligations.

4. Subscription Plans and Payment

The Service is offered through various subscription plans as described on our website. By selecting a subscription plan, you agree to pay the applicable fees. All fees are quoted in U.S. dollars unless otherwise specified. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected. Fees are non-refundable except as expressly set forth in these Terms or as required by applicable law.

fetchfund reserves the right to modify pricing at any time. Price changes will be communicated to existing subscribers at least thirty (30) days in advance and will take effect at the start of the next billing cycle. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect.

5. Beta Program Terms

If you are participating in the fetchfund beta program, you acknowledge that the Service may contain bugs, errors, and other issues. Beta features are provided “as is” without warranty of any kind. Your participation in the beta program does not guarantee continued access to any specific features upon general release. fetchfund may modify, suspend, or discontinue beta features at any time without notice. Feedback and suggestions you provide during the beta program may be used by fetchfund without compensation or attribution to you.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not: use the Service in any way that violates any applicable federal, state, local, or international law or regulation; use the Service to transmit any material that is defamatory, obscene, or otherwise objectionable; attempt to gain unauthorized access to any part of the Service or any systems or networks connected to the Service; use any automated means to access the Service without our express written permission; interfere with or disrupt the Service or servers or networks connected to the Service; use the Service to compete with fetchfund or for any purpose other than its intended use; resell, sublicense, or otherwise transfer access to the Service without our prior written consent; or remove, alter, or obscure any proprietary notices on the Service.

7. User Content and Data

You retain ownership of all data, information, and materials you submit to the Service (“User Content”). By submitting User Content, you grant fetchfund a non-exclusive, worldwide, royalty-free license to use, copy, process, and display your User Content solely for the purpose of providing and improving the Service. You represent and warrant that you have all necessary rights to submit User Content and that your User Content does not violate any third party’s intellectual property rights or other rights.

fetchfund may use aggregated, anonymized data derived from User Content to improve the Service, develop new features, and for analytical purposes. Such aggregated data will not identify you or your organization.

8. Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, graphics, and the design, selection, and arrangement thereof) are owned by fetchfund, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The fetchfund name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of fetchfund LLC. You may not use such marks without our prior written permission.

9. AI-Generated Content Disclaimer

The Service utilizes artificial intelligence to assist with grant discovery, analysis, and recommendations. You acknowledge and agree that AI-generated content is provided for informational purposes only and should not be relied upon as the sole basis for any funding decisions. AI-generated content may contain errors, inaccuracies, or omissions. You are solely responsible for verifying the accuracy of any information before relying on it. fetchfund does not guarantee that grant opportunities identified by the Service will result in funding awards.

10. Third-Party Links and Services

The Service may contain links to third-party websites or services that are not owned or controlled by fetchfund. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that fetchfund shall not be responsible or liable for any damage or loss caused by your use of any such third-party content.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. FETCHFUND DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FETCHFUND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FETCHFUND, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

IN NO EVENT SHALL FETCHFUND’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO FETCHFUND IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to defend, indemnify, and hold harmless fetchfund, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys’ fees) arising from: your use of the Service; your violation of these Terms; your violation of any third party’s rights, including intellectual property rights; or any User Content you submit to the Service.

14. Termination

You may terminate your account at any time by contacting us or using the account cancellation feature in the Service. fetchfund may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. You may request a copy of your User Content for thirty (30) days following termination, after which fetchfund may delete your data.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Iron County, Utah, and you consent to the personal jurisdiction of such courts.

16. Changes to Terms

fetchfund reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Effective Date” above. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

17. Miscellaneous

These Terms constitute the entire agreement between you and fetchfund regarding the Service and supersede all prior agreements. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
